Research On The Protection Of The Rights And Interests Of Small And Medium Shareholders In My Country's Stock Companies

The development and expansion of a mature capital market will inevitably require the participation of many minority investors.At present,the proportion of shares of minority investors is increasing in capital market.However,because of the shortage of management experience to the company,information asymmetry,the lack of governance structure of the corporate and high cost of rights protection,the rights and interests of minority shareholders can ' t be effectively protected.Therefore,how to ensure the rights of minority shareholders in capital market is the problem that China's capital market must face to now.In this paper,protecting the rights of minority shareholders are studied from the following four chapters: the first chapter briefly discusses the differences between large shareholders and minority shareholders,then enumerates the actions that some large shareholders infringement minority shareholders,and finally shows the necessity of protecting the rights and interests of minority shareholders;the second chapter firstly discusses the existing regulations of protecting the rights and interests of minority shareholders in our "Company Law" and "Securities Law",then lists reasons that why the rights and interests of minority shareholders can ' t be effectively protected;the third chapter discusses the regulations of protecting the rights and interests of minority shareholders in the European Union and the United States;the fourth chapter mainly suggests the ways to protect the rights and interests of minority shareholders by perfecting internal management of company,strengthening the information disclosure and improving the system of minority shareholders' voting rights and shareholder lawsuit system,in this way can promote the healthy development of capital market and social economy.
