Employee stock ownership plan(ESOP),as an important incentive equity incentive tool,was born in America in the 1950's,in the year of 2012,in the third plenary session of the 18 research and implementation of the "the central committee of the communist party of China about certain major issue decision" explicitly pointed out that "allow execute employee shareholding,as well as the mixed ownership economy form of capital owners and workers community of interests",which clearly affirmed the feasibility of implementing employee shareholding system in Chinese enterprises.Therefore,in the new period of vigorously promoting the reform of the mixed ownership,as one of the main implementation way of employee shareholding system,the ESOP is once again become the focus of reform.On the basis of the systematic review of relevant literature,this article attempts to build the theoretical logic of ESOP under the transformation-background of China.Through a large sample of the descriptive statistics of the implementation of the present situation and the cause of the predicament's in-depth analysis,and the reasons for the implementation of the system of employee shareholding,this article strives to promote the effective operation path of employee stock ownership plan,as well as putting forward reference for China's employee stock ownership plan policy.The specific chapters of this article are arranged as follows:the first chapter is the introduction,elaborating the research background,research significance,research content and thinking.The second chapter is literature review and theoretical basis part,system to review the implementation of equity incentive system will,motivation and economic consequences of related literature,and the research status of employee shareholding system,summarizes the theoretical basis and implementation.The third chapter through the large sample of descriptive statistics,to distinguish the nature of enterprise,industry type,the public sector of the implementation of the system of employee shareholding in China's listed companies present situation,the incentive factors,and on this basis,the system of employee shareholding in China listed companies in the process of implementation of the main problems and their causes are analyzed.Chapter 4 by choosing typical cases,the developing course of the implementation of employee stock ownership plan and analyzes the reasons to conditions to implement system of employee shareholding in China provide certain enlightenment.The fifth chapter puts forward corresponding policy suggestions and countermeasures.The sixth chapter is the conclusions and research prospects.The novel topic of this paper has certain theoretical value and practical significance.With long-term incentive effect,the employee shareholding is beneficial to give full play to the value of human capital,as well as forming the enterprise internal motive force of the innovative culture,therefore promoting the whole society's development of knowledge-based economy.As an important tool of mixed ownership reform "hybrid",employee shareholding will become the important means of realizing to digest capacity,absolving non-public capital,improving the level of management for more state-owned enterprises.The implement of ESOP for Listed companies,especially state-owned enterprises employees,is beneficial to establish and perfect the mechanism of sharing the interests of the owners and employees,improve the staffs participation level in the enterprise management.Which also makes for strengthening sense of staffs responsibility,engagement and belonging,realizing from a single worker identity to the change of the role of owners,managers,and ultimately to achieve the optimal allocation of social capital through the capital market,promote the stable and healthy development of national economy.
