In the context of the reform of state-owned enterprises in the new era,there is a very important work content,that is,mixed ownership reform and employee stock ownership.At the Third Plenary Session of the Eighteenth Central Committee,the "Decision of the Central Committee of the Communist Party of China on Comprehensively Deepening the Reform of Some Major Issues" was passed.and in August 2016,the State-owned Assets Supervision and Administration Commission issued the "Opinions on the Implementation of Employee-Shareholding Pilot by State-owned Mixed-owned Enterprises"(hereinafter referred to as "Pilot" Opinions)As a top-level design guidance program for employee stock ownership,a new round of state-owned enterprise mixed ownership reform employee shareholding plan began to be laid out.In 2017,the first batch of 10 subsidiaries of central enterprises were selected for mixed ownership reform and pilot employee shareholding pilots.Begin to push the policy into the implementation phase.Since the pilot of the central enterprises is still in the initial stage of exploration,the relevant practices and experience are still few,and the corresponding mechanism research will help to summarize and propose rationalization proposals.This paper uses the literature research method,the case analysis method and the comparative analysis method to conduct a corresponding study on the employee ownership mechanism of the mixed ownership reform of state-owned enterprises,especially the central enterprises.First of all,this paper sorts out the relevant literature on mixed ownership reform and employee stock ownership,compares the characteristics of foreign employees' shareholding,reviews the experience of employee shareholding development in China,and summarizes and analyzes the contents of the “Pilot Opinion”.It clarifies the relevant theory and mechanism of its employee stock ownership system.Secondly,this paper deconstructs the individual case of China Electric Apparatus Research Institute Co.,Ltd.,the first batch of pilot enterprises that share the ownership reform of central enterprises,and sorts out the content and practice of its mixed employee shareholding plan,focusing on the key points.Institutional arrangements and effects.Thirdly,this paper makes a comparative analysis of the practice of the first batch of 10 pilot enterprises of central enterprises,and summarizes the key contents of the pilot employees' shares,and summarizes the practical effects.Finally,through the paper on the combing and mechanism research of the ownership of state-owned enterprises,especially the central enterprises,according to the pilot situation of the first batch of state-owned enterprise employees,the corresponding conclusions are drawn,including the promotion of the incentive and restraint effect of the employees of state-owned enterprises.The company's corporate governance structure has improved,and the company's overall business development has improved and other positive effects.At the same time,it is necessary to strengthen the design of the top-level system and scientifically improve the employee stock ownership mechanism..
