Vanke,as the leading Real Estate Company in China,has been praised for its outstanding performance,excellent management team and modern corporate governance structure since its establishment.Especially to ensure the modern corporate governance structure for the management and development of Vanke,the Vanke equity structure and major shareholders for a long time,the management of the company but also the achievements of many interventions Vanke modern corporate governance structure,and governance structure and enterprises for the securities market is very Chinese precious.However,Vanke's decentralized ownership structure has also hidden trouble for its corporate governance.In recent years,foreign capital has been buying large quantities of Vanke's stock through the two tier market to compete for corporate control,which has jeopardize the normal corporate governance and operation of Vanke.Although the eventual event was settled under the coordination of the government,the problem of ownership structure and corporate governance reflected in the development process of the whole event was thought-provoking.In this paper,the author will be the evolution of Vanke equity structure as the background,through the comparative analysis of domestic and foreign listed companies advanced ownership structure and corporate governance model,optimization of corporate governance on Vanke,and puts forward some feasible suggestions,but also for the domestic similar dispersed ownership structure,corporate governance of the listed companies is still lacking some help.
