With the development of economy,enterprises have been seeking to maximize their growth.Generally speaking,enterprises can grow "internally" through internal investment or "externally" through mergers and acquisitions,which have become a very common strategic wave.The merger and acquisition activities of different industries have different characteristics.The tourism industry studied in this paper has the characteristics of high growth,strong service and high profit,which are quite different from the traditional industries.At the same time,the development of tourism has reached a new stage of national tourism and self-driving tourism,as a comprehensive industry in the economic and social development play a more extensive role,the traditional single-point-based tourist attractions,has been unable to meet the current demand for tourism consumption.In the environment of booming tourism industry and people's consumption demand,OCT Group,combining its own development needs,puts forward "cultural + tourism + urbanization" and "tourism +Internet + finance" innovation and development mode,and makes full efforts to layout Yunnan and Hainan global tourism,and speed up the national natural cultural scenic spot asset expansion.M & A is the most direct and effective way to expand business and increase the wealth of enterprises.Overseas Chinese Town Group has adopted the way of merger and acquisition to implement its strategic transformation in Yunnan.This paper analyzes the case of merger and acquisition of Yunnan World Expo Tourism Group after the strategic transformation proposed by Overseas Chinese Town Group,tries to study the synergy effect of merger and acquisition,explains the relationship between strategic transformation and merger and acquisition of Overseas Chinese Town Group,and summarizes the law.It has certain practical significance for the further strategic transformation.The system is arranged as follows:The first part includes the background,significance and theoretical methods of the study.The second part reviews the research on M & A and transformation and upgrading at home and abroad.The third part analyzes the current situation of tourism industry and the situation of Yunnan tourism joint stock company from the perspective of strategic transformation.The fourth part takes the overseas Chinese City merger and acquisition of Yunnan Tourism Co.,Ltd.as a case,using open data for multi-dimensional analysis.The fifth part is the conclusion,mainly from the financial point of view,the customer point of view,internal process point of view and innovation learning point of view.
