Enterprise is the basic cell of the national economy. One of the most important enterprise combination operating mechanism is merger and acquisition. That is so-called reallocation of resources and composition, technology upgrading and adjustment, organization optimizing and reasonable, internal institutions configuration and integration through an enterprise acquires another enterprise to realize capital gains. In recent years, with the integrated development trend of world economy and the rapid technological development and speeding update, more and more enterprise realize expanding with low cost and risk through mergers and acquisitions. There are more and more successful cases in China and abroad. China’s state-owned enterprises are also more involved in the domestic and international M&A activities.This article is about discussing and studying a case of the state-owned enterprises Puzhao Group Co. Ltd. purchasing a wholly foreign-owned enterprise Huxu Company. By using a series of professional theories like:Macro and Micro Economics, merger, and acquisition, reorganization, strategic management etc., we can summarize the successful experience and specific measures to prevent risks. All in all, through comprehensive analysis of this case in post-financial crisis era, we’re about to find the characteristics of this merger, providing valued reference to the acquisitions of state.-owned enterprises.
