With the development of capital market,the separation of ownership and governance of the company makes the owner and manager of the company have the inevitable agency cost.In order to safeguard the rights and interests of owners,supervise the daily work of managers,the board of supervisors system came into being.The board of supervisors has been in a weak position in corporate governance due to the defects of its own system construction and the low execution force.In order to prevent the company's management fraud,to maintain the healthy and sustainable development of the company.It is imperative for supervisors to study Hu.Through the summary of previous studies,the author finds that the relevant research on the governance of the board of supervisors in the theoretical and practical circles stays in the theoretical research of jurisprudence,and the empirical research on the governance of the board of supervisors is less.At the same time for the board of supervisors of the empirical study,mainly as part of corporate governance,from the corporate governance level of the board of supervisors,the board of directors,management together to consider,the lack of an independent analysis of the board of supervisors.At the same time,the level of performance is the most direct explanation of the effectiveness of corporate governance,but the role of governance in the board of supervisors is relatively subtle,which also deepens the understanding of the ineffectiveness of the board of supervisors.In order to study the correlation between board of supervisors and the performance level of the company,this paper chooses the data of the listed companies in the food industry,and studies the correlation between the board of supervisors and the performance level of the company through factor analysis and regression equation.Through the profound investigation of the characteristics of the board of supervisors system,the board of directors holding the proportion of the board of directors to pay the situation,employee shareholding ratio,equity concentration and other indicators of regression analysis,draw conclusions.There is a positive correlation between the shareholding ratio of the board of supervisors and the performance level of the Company,and the remuneration of the board of supervisors and the performance of the Company are positively correlated.And on this basis,put forward the corresponding recommendations to improve the governance of the board of supervisors.The proposal is as follows: It is possible to optimize the remuneration system of the board of supervisors,to change the single pay system,to add incentive pay,to improve the enthusiasm of the supervisors,to increase the proportion of the members of the board of supervisors,to include shareholders of small and medium shareholders' equity in the board of supervisors;Employee shareholding ratio,the annual reward for employees,can be replaced by the company's equity,shareholders as external supervision can not ignore the power of their large number and the company's operating conditions are more familiar.
