In June 2014,the China Securities Regulatory Commission issued the <Guiding Opinions on the Pilot Implementation of the Employee Stock Ownership Plan for Listed Companies>,which indicates that the implementation of the employee stock ownership plan of listed companies in China has begun to standardize and standardize.The employee stock ownership plan enables employees to share the fruits of corporate development,motivate employees to make greater contributions to the development of the company,improve the company's cohesiveness to employees and the company's own market competitiveness,and thus promote the company's long-term development.However,the current implementation results of the employee stock ownership plan of domestic enterprises are often two extremes: one is the welfare phenomenon of general-purpose or executive-only subscriptions;the other is that the employees holding the shares are deeply stuck and the losses are out.Both of these results are contrary to the original intention of the employee stock ownership plan,and did not achieve the purpose of motivating employees.The current literature has relatively little research on the employee stock ownership plan welfare.Therefore,this paper takes the Blue Shield stock employee stock ownership plan as an example to conduct an in-depth analysis of the performance and reasons of the Blue Shield employee stock ownership plan welfare,with a view to relevant Departments and listed companies provide guidance and reference for curbing the welfare of employee stock ownership plans.This paper uses a combination of normative research and case analysis.In the normative research section,we reviewed and summarized the relevant literatures at home and abroad,and summarized the motivations and effects of the implementation of the employee stock ownership plan and the factors affecting the implementation effect.In the case analysis section,on the basis of examining the plan and implementation process of the implementation of the employee stock ownership plan of Blue Shield,combined with the financial data of Blue Shield and the analysis of the trend of the securities market during the same period,the contents of the employee shareholding plan of Blue Shield are consolidated.Performance and implementation effects and impact on other stakeholders,and further explore the reasons for the benefits of Blue Shield's employee stock ownership plan.Finally,this paper draws the research conclusions through a series of analysis in the previous article,and explores the research implications brought by this case,and puts forward some constructive suggestions for the improvement of corporate governance mechanism and the relevant laws and regulations of employee stock ownership plan.The basic framework of this paper is mainly composed of five parts: The first part is the introduction,introduces the research background of this paper,clarifies the research significance of this paper,conducts literature research and comments on the research on the motivation,incentive effect and effect of implementing employee stock ownership plan,and establishes Research ideas and methods.The second part is a theoretical overview of the employee stock ownership plan,expounding the concept and type of employee stock ownership plan;determining the main elements of the employee stock ownership plan;defining the purpose of the company's employee stock ownership plan;exploring the incentives affecting the employee stock ownership plan;the factors of the effect;lay the theoretical foundation of the employee stock ownership plan.The third part is a case study of the Blue Shield stock employee stock ownership plan.First understand the basic situation of the company,including the operating status and ownership structure;then introduce the main content of the company's employee stock ownership plan and the implementation process of the employee stock ownership plan.The fourth part is the performance of the benefits of the Blue Shield employee stock ownership plan and its impact on other stakeholders.It describes the performance of the company's employee stock ownership plan and the poor results after implementation.Demonstrate the impact of employee shareholding program benefits on other stakeholders.Find out why the employee stock ownership plan benefits.The fifth part is the conclusion and enlightenment of the case study.Summarize the conclusions of this case study and discuss the implications of this case for other companies that will implement employee stock ownership plans.The main contributions of this paper are as follows:(1)Based on the research literature of domestic and foreign scholars and the relevant outlines of employee stock ownership plans,analyze the characteristics of the implementation of the shareholding plan of Blue Shield shares,the performance of welfare and the impact on stockholders,revealing the reasons for the welfare of the Blue Shield shares.At the same time,it supplements and improves the case study of the welfare of the employee holding plan of domestic enterprises;(2)Puts forward corresponding constructive opinions from the two levels of corporate governance and supervision,and provides some experience for the prevention of the employee shareholding plan as welfare in the future and suggestions.
