Under the conditions of market economy,the positive role of mergers and acquisitions in launching enterprises is increasingly recognized by the industry.Enterprises from all countries expect to achieve their own competitiveness and market share by means of mergers and acquisitions.Through mergers and acquisitions.Chinese enterprises have expanded their scale and increased their market share.Some of these companies successfully entered the international market to participate in international competition after the implementation of mergers and acquisitions,and improved their market competitiveness and international influence,while the standardization of corporate management operations also significantly improved.The positive and positive effects of corporate mergers and acquisitions have been confirmed by practice,but the risk of mergers and acquisitions is an undeniable fact.Previous research shows that many companies have implemented M&A activities and M&A activities have been successful,but the final development results have not achieved the expected goals.Many M&A cases have been put into practice,but the final result is a failure.This requires decision makers and sponsors of M&A activities to fully identify,evaluate and formulate effective preventive measures for risks in the M&A process to ensure that M&A promotes the development of the company.Based on a comprehensive analysis of M&A risk-related theories,this study systematically analyzes the identification.assessment and prevention of M&A risks,and aims to provide guidance for management decision-makers in the implementation of M&A activities.Firstly,it conducts a comprehensive analysis of domestic and foreign research data,expounds the research status of enterprise M&A risk;reveals the problems exposed by Chinese enterprises in M&A risk management process through comparative analysis;then analyzes the theory of M&A and M&A risk management,and lays the foundation The theoretical basis for the second study.The merger risk assessment system was constructed by introducing fuzzy comprehensive evaluation method and AHP.This paper selects J Company M&A A Company for case analysis,establishes the membership degree matrix of each risk index through expert scoring,and obtains the fuzzy vector set of J Company M&A A company risk.Overall,the financial risks of J-company A-company companies are not very large,between general risks and lower risks.Judging from the principle of maximum membership degree,J company M&A A Company integration risk is between general risk and high risk,mainly because J Company and A Company are in the technical level,cultural construction,operation scale,development stage,etc.There is a big gap in terms of aspect,and it is more difficult to fully realize the synergy effect.In this research,the relevant research theory of M&A risk management is applied to the actual operation process of M&A activities,and a comprehensive and systematic analysis is carried out,which can provide practical guidance for enterprises to carry out M&A activities.Through this research.I hope that Enhance the understanding of M&A risks of company managers and the industry as a whole,and make the development and implementation of M&A programs more scientific,and thus improve the success rate of M&A activities.
