Study On The Difficulties And Countermeasures Of Protecting The Rights And Interests Of Minority Shareholders In China

The securities market has played an important role in China's economic construction and social development,and small and medium shareholders are the main participating groups in the securities market.Whether the minority shareholders' equity is fully guaranteed determines the quality of the development of the listed company and the entire securities market.However,from the perspective of corporate governance practices in various countries,the protection of minority shareholders' rights and interests faces various difficulties.This paper analyzes the dilemma of protection of minority shareholders' rights and interests and its countermeasures,the relationship between huge losses and the protection of minority shareholders' rights and interests,based on the theories of information asymmetry,principal-agent and public choice,taking the giant loss of *ST Longli as the research object.This paper discusses the background,causes and effects of *ST Longli's huge losses,and points out the predicament of the protection of minority shareholders' interests reflected by Longli's huge losses from the aspects of information disclosure,internal corporate governance and rights protection.Based on this,it proposes to improve the information.Disclosure mechanism,optimization of internal corporate governance,smooth channels for safeguarding rights,and other countermeasures to eliminate the predicament of minority shareholders' rights and interests.It not only enriches the case study of the protection of the interests of small and medium shareholders,but also proposes countermeasures to strengthen the protection of minority shareholders' rights and interests.
