According to the survey,now has about 550 private enterprises in our country,of which 86.5%are the family business.The generation of founder entered the sixties generation years,mean age between 55-75 years old,75%of the family enterprise is expected to face the inheritance problem in the next five to ten years.Under the influence of traditional culture and trust "halo",most family businesses incumbents tend to choose " Blood inheritance " pattern to inheritance.However,due to the implementation of family planning,the one-child in proportion to the family of boost,and more and more children don't want to join family business,passing on the scope of the candidate is greatly limited.Therefore,in order to maintain the enterprise development,help companies built to last,the inheritance model of controlling family taking a back seat began to be taken into consideration,which is hindered by the possibility of moral hazard problem and the transfer problem about the specificity of founder's assets.This paper first uses the literature research method to review the theoretical results home and abroad on the family business between generations.These theories analyze inheritance from the perspective of the ownership and management rights,whose conclusion is confined to passing on motivation and the direction of risk.On the basis of literature conclusion and theory research,which choose "to whom" and"what","how","what is the effect of as the main line,the theory analysis part of this paper,starting.from the inheritance factor,induces the inheritance mechanism arrangement framework,and provide a certain reference significance for other companies who plan to have succession.The main part of this article make a study through the case study method about the first case of china's A-share listed companies using the model of holding family taking a back seat to have succession,and obtain the following success:first,the thorough analysis of beauty inheritance factor,verify the inheritance mechanism arrangement of the applicability of the framework;Second,thorough analysis the overall effect of inheritance mechanism,through the event study method and financial index analysis verify the validity of the framework;Finally get family businesses through the cultural inheritance,the system design,gradual cultivation of three aspects:set up the mechanism of the ability to reduce the negative impact of the founder's departure for the enterprise,reduce the successor and between enterprises of rejection,promote enterprises to expand the size of the market and the transformation and upgrading,so as to improve enterprise performance,improve the effect of inheritance.
