《Guidelines for the Implementation of Employee Stock Ownership Scheme in Pilot Listed Companies》is promulgated by the China Securities Regulatory Commission in June 2014,which marks that the Employee Stock Ownership Plan of Chinese listed has entered the deepening development stage.Among it,strict regulations are made on the issue of employee stock ownership plan for domestic listed companies,which play a very important role in promoting the implementation of ESOP of listed companies.After equity incentives,an innovative model called employee stock ownership plan emerged.And in china,the innovative model is adopted by more and more listed companies.At the same time,because of the late start of this innovative model in China,its development is not perfect enough,and various problems and shortcomings are exposed in the process of practice,such as the lagging of supporting policies and the lack of transparency and perfection of supervision mechanism.Compared with the western developed countries,the domestic academic research in this field is not mature enough,both the breadth and depth of the research have greater room for improvement.Most of the studies focus on the legal system,but few on the reasons for the implementation of ESOP and the impact of the implementation of employee stock ownership plan.That is to say,the research on the motive and influence of implementation is still shallow.Especially,the effective literature of relevant case studies is more scarce.Therefore,this study takes Boya Biology Company as an example to analyze the motivation and implementation effect of the employee stock ownership plan of listed companies.It is hoped that the case can provide reference materials for the implementation of ESOP,and better promote the development of ESOP of Listed Companies in China.This paper mainly uses the method of combining normative research and case analysis to carry out the research,deeply analyze the motivation of the implementation of ESOP by listed companies and the positive role that the implementation of ESOP can play in promoting the development of Listed Companies in China.In the aspect of normative research,the paper first briefly introduces the background and significance of the research,and then sorts out and summarizes the relevant research literature at home and abroad,and grasps the frontier trends and research status in this field.On this basis,the paper elaborates the related concepts of employee stock ownership,and analyses the relevant theories such as profit sharing theory.In the case study,the paper takes Boya Biology Company as an example to analyze.The paper introduces the current situation of implementation of ESOP,analyses the characteristics and motivation of ESOP in this case.Combined with the financial report of the case,the paper further analyses and evaluates the implementation effect of the ESOP scheme,and analyses the reasons for the successful implementation of ESOP.Finally,this paper draws conclusions from the previous analysis,and on this basis,puts forward suggestions for the implementation of ESOP.The achievements of this paper are as follows:(1)Through case study and normative study,the paper analyses the actuality of ESOP implementation of listed Companies in China,including motivation,impact,characteristics,existing problems and shortcomings.(2)By studying the companies that have implemented ESOP,the paper analyzes the impact of ESOP on corporate performance and evaluates the implementation effect.The above research provides an effective theoretical basis for the promotion and in-depth implementation of ESOP.(3)Through in-depth analysis and summary of the design of ESOP,this paper provides a case study for the implementation of ESOP in similar companies.
