As an indispensable part of modern corporate governance,management equity incentive is widely used in enterprise management in recent years.It has realized the right to claim the interests of the company for the management and encouraged the management to maximize the interests of shareholders while pursuing personal interests.However,the excessive proportion of equity incentive makes the management's rights and status out of control and infringes on shareholders' rights and interests of earnings management cases occur constantly.In order to give full play to the positive effects of equity incentive effectively,many scholars have made more researches on the ways,duration and proportion of equity incentive.However,there are few studies on the difference between accrual earnings management and real earnings management of equity incentive,and further studies on the adjustment effect of internal control on the two are even less.This paper selects the data of equity incentive from 2012 to 2016.On the basis of the interest convergence hypothesis,the manager defense hypothesis and the previous studies,the hypothesis was put forward.Eviews8 was used for regression analysis of equity incentive,accrual earnings management and real earnings management,and the moderating effect of internal control on the two was further studied as the moderating variable.The following conclusions are drawn: with the increase of the equity incentive of the management,the accrued earnings management behavior of the management is increased;However,with the increase of the proportion of equity incentive of the management,the behavior of the real earnings management of the management is inhibited,indicating that equity incentive can play an incentive effect on a certain proportion.Internal control has a negative regulating effect on accrual earnings management of management under equity incentive,that is,it has a restraining effect on accrual earnings management when the proportion of equity incentive increases.But for the management equity incentive management under the regulation of real earnings management behavior of the effect was not significant,and internal control which is still at the main control legal,compliance control plane has a lot to do,so we should further strengthen enterprise to the attention of the internal control system design,execution,the supervision of the internal and external to internal control,promote enterprise can calmly deal with risks,promote enterprise long-term stable development,healthy steady economic development.
