Research On The Payment Method Of M Co.,Ltd.&N Co.,Ltd. Merger And Acquisition

Merger and acquisition is one of the effective means for enterprises to achieve expansion.With the intensification of market competition in our country,the way for enterprises to expand is less and less suitable for the requirements of the market.Mergers and acquisitions can help enterprises acquire development resources more effectively in a shorter period of time.Therefore,China's policies and regulations on mergers and acquisitions have been gradually improved with the rapid growth of China's economy,and the number and transaction volume of mergers and acquisitions in the domestic market have achieved a steady growth in recent years.As an important part of merger and acquisition,payment of consideration has a crucial influence on the success of merger and acquisition.If the payment method of merger and acquisition cannot be properly selected,it will increase the cost of merger and acquisition in the preferable case and cause the failure of merger and acquisition in the worse case.However,China has not yet formed a complete merger and acquisition payment system.Therefore,China is need of a theoretical system that it suitable for China's own development urgently.Therefore,it is necessary for Chinese enterprises to study how to select the appropriate of payment methods in merger and acquisition.This paper takes the merger and acquisition activities of Chinese enterprises as the research object,and focuses on the selection of the merger and acquisition payment methods.First of all,this paper defines the concept of mergers and acquisitions,the concept of the payment of mergers and acquisitions,compares and analyses the application of various payment methods.Use for reference from the research achievements of previous scholars.Combining with control theory,information and signal theory and limited cash flow theory,the merger and acquisition's motivation theory and other related theoretical,analyze how the financial situation and control of the capital structure,the financing ability and the paying ability,the concentration,the transaction amount and the growth ability to affect the selection of acquirer and the payment of merger and acquisition.,then build the factors that affect merger payment system;Secondly,using the entropy weight method to analyse the weight of influence factors of enterprise's merger and acquisition activity in real situation,studying why the acquirer abandon the single payment of merger and acquisition combined with financialindicators,and choosing the mixed mode of payment that pay with cash and stock,and then evaluating this mode of payment,giving the the suggestions of optimization and enlightenment.Finally,this paper gives some conclusions on the selection of payment methods in merger and acquisition to acquirer combined theory with practice.
