As an incentive measure for core talents,equity incentive has been implemented in Europe and the United States for half a century.China began to introduce equity incentive in the 1990 s,which has played an important role in attracting and retaining talents and improving company performance.Tomson Bei Jian Co.,Ltd.(referred to as "Tomson Bei Jian ")is a dietary nutrition supplement production and marketing enterprises,belong to the food manufacturing industry and obtained high-tech enterprise certification in 2009.The company is committed to gradually upgrading from a single product supplier to a comprehensive solution supplier for health intervention to become a leading enterprise for dietary nutritional supplements in China.In the face of increasing competition in the industry and the loss of internal scientific research personnel,the company has launched two equity incentive programs since 2013 to attract and retain outstanding talents and improve the company's performance.However,because the enterprise has not carried on the multi-angle analysis to the equity incentive scheme so far,it is difficult to find the problems existing in the content of the equity incentive scheme formulation,and the impact on the performance is always outstanding.By the end of 2019,Tomson Bei Jian had introduced two new equity incentive schemes,so it is necessary to analyze the equity incentive schemes of the first and second phases of Tomson Bei Jian from the perspective of financial performance and non-financial performance,and put forward the improvement scheme and safeguard measures for the remaining deficiencies in the equity incentive scheme of the enterprise combined with the content of the new two phases.On the basis of referring to domestic and foreign literature,this paper first sorted out the concept,mode,main elements,performance analysis method and related theories of equity incentive,and introduced the equity incentive plan of the first and second phase after the implementation of Tomson Bei Jian.Then,respectively from the perspective of financial performance and non-financial performance,the performance impact of equity incentive plan is analyzed,including through the analysis of single financial index and comprehensive financial indicators,found Tomson Bei Jian times health equity incentive in the single financial performance has a positive impact on profit ability,growth ability,and for comprehensive financial performance indicators,the first phase of the scheme for its positive effect,nosignificant positive impact phase ii project.Based on the analysis of non-financial performance,it is found that the equity incentive plan of Tomson Bei Jian can only promote the innovation ability.Based on the above tell the analysis conclusion,namely the tomson times alive on the choice of equity incentive plan incentive mode,the second phase of the draw lessons from the failure of a chosen conform to the enterprise itself development mode of restricted stock,but the incentive object,awarded quantity,price,time limit and incentives granted to unlock conditions,still exist deficiencies;Again,on the basis of equity incentive plan analysis conclusions,combined with 2019 new incentive schemes,the scheme of reasonable place to continue,the scheme of improvement measures are proposed,and in turn on the incentives of equity incentive plan period,the exercise price,exercise conditions as well as the number of incentives to improve,make exercise can improve the condition,motivation can enhance the level of corporate earnings and on incentive amount,time limit and the exercise price incentives can improve enterprise talent team construction;Finally,put forward the safeguard measure to the implementation of the improvement plan.
