In recent years,the economic situation is declining,and the performance commitments of M&A are expiring one after another.The huge goodwill formed by M&A brings pressure to the business development of enterprises.As of January 31,2020,a number of enterprises in China's capital market have issued announcements of performance losses in 2019.Most of the losses are caused by huge impairment of goodwill.Among them,companies in the game industry are obviously differentiated,and many small and medium-sized companies suffer losses due to impairment of goodwill.The topic of goodwill has become a hot topic among researchers in recent years.How to reduce and prevent the risk caused by goodwill impairment has become a close concern of listed companies.This paper studies the literature on goodwill,including the nature of goodwill,initial measurement,subsequent measurement,the factors affecting goodwill impairment risk,the preventive measures for goodwill impairment risk,and the relevant concepts and theoretical basis,which are the basis for the subsequent analysis of this paper.By studying the current situation of goodwill and goodwill impairment,this paper chooses the game asset-light company as the focus of this analysis.In terms of case analysis,choose the cross-border mergers and acquisitions cohesion culture beauty born yuan into a typical game industry events,this paper expounds the basic situation of the M&A companies and target companies,financial status,operating performance,etc.,and the background and purpose of M&A transactions,mergers and acquisitions,the process of the goodwill impairment and formed a complete overview of the specific process.In the concrete analysis of the stage,in this article,through studying a large number of literature and research,the paper combined with the goodwill impairment risk process,from the changes of external market environment of mergers and acquisitions,mergers and acquisitions program design,management,operation and management and operating situation,the enterprise's handling of goodwill follow-up measurement of the four aspects in detail the whole process of M&A goodwill impairment risk point sources.After the identification of the risk sources,the influence of the risk indicators analyzed above on the impairment risk of cohesion cultural goodwill was evaluated through the analytic hierarchy process and the analytical method of fuzzy comprehensive evaluation.Finally,based on the assessment results of risk indicators,measures to prevent the risk of goodwill impairment are proposed.The results of the study can provide reference for the listed companies to prevent the risk of impairment of goodwill when they conduct similar mergers and reorganizations.Specifically,it includes improving the design of the whole transaction plan,including improving the evaluation mechanism,payment method and M&A method,as well as the performance commitment mechanism,so as to improve the operation of enterprises after M&A and the measures to deal with risks.Regulators should improve the impairment test method of goodwill and improve the system of goodwill information disclosure.
