Against the background of China's rapid economic development,China's capital market is developing in a more standardized and mature direction.Fierce market competition has also put forward higher requirements for enterprise resource allocation.The SFC began to allow domestic companies to spin-off overseas listings in 2010.The Hong Kong market has attracted a large number of companies to spin-off and list their subsidiaries in Hong Kong due to its lower access conditions and fast approval process.Unleashing the value of subsidiaries,improving operating performance,and adjusting development strategies are the main driving factors for corporate spin-offs.Spin-off listings can improve corporate operating performance,increase shareholder wealth,and promote strategic transformation.Based on research methods such as literature research method,index analysis method and case study,combined with domestic and foreign spin-off and related theoretical research and development status and prospects of China's property management industry,this article analyzes the motivation and effect of Country Garden service spin-off and listing..This article first introduces the reasons for the spin-off and listing of Country Garden's services,including four aspects: driving industry development,releasing property value,increasing business concentration,and motivating company management.Secondly,it analyzes the effect of the spin-off and listing,which mainly includes the financial value effect,strategic value effect,and capital market response effect.This article pays more attention to the strategic value impact of the spin-off for Country Garden services.Finally,it summarizes the successful spin-off and listing of Country Garden Services and puts forward some suggestions for the spin-off and listing of enterprises,including reducing its spin-off risk through measures such as based on its own strategy,improving its listing conditions,selecting appropriate listing locations and methods,and improving information disclosure.I hope to provide some reference for the spin-off and listing of real estate companies.
