With the development of China's market economy,the M&A market is flourishing.The number of M&A cases is increasing year by year,the scale of M&A is expanding,the real estate industry is also like this.In recent years,China 's macro-control over the real estate industry has been strengthened,and new rules for asset management have been issued to comprehensively tighten real estate trust and real estate debt financing,which has narrowed the financing channels for real estate enterprises;stricter land policies and rising land prices;and restrictions on purchase policies,insisting on a foothold for housing rather than speculation,the external environment of the real estate market is not clear.At the same time,the real estate industry has entered the silver age,and the real estate industry has reached the road of development and transformation.Strong branded housing companies have laid out their new strategic highlands.M&A is the most direct and effective way for enterprises to expand their scale and step into new industries.The real estate market mergers and acquisitions such as mushrooming.On the one hand,real estate companies through mergers and acquisitions can obtain the right price of land,avoid overheated primary market,speed up the pace of resource competition,achieve expansion of scale,seize the market high;On the other hand,crossindustry mergers and acquisitions enable companies to quickly enter new fields,develop diversified businesses,and find new points of profit growth.Many scholars' research and analysis on M&A cases in the real estate market can provide a lesson for the development and transformation of China's real estate enterprises,and promote the steady and healthy development of China's real estate market.This article starts with two merger and acquisition cases in the transition phase of Sunac China,and analyzes its diversified strategy adjustments centered on its main business.Firstly,it introduces the company profile and development stage division of Sunac China,the strategies of different development stages,and its acquired Le TV and Wanda Cultural Tourism in the transformation stage.Secondly,it analyzes the two M & A cases of Sunac China from the aspects of M & A motivation,M & A risk and M & A performance.Finally,It puts forward relevant suggestions for M & A of real estate companies,including careful selection of M & A targets,detailed due diligence before M & A,the use of reasonable financing methods,focusing on the financial,business,and cultural integration,etc.,set a benchmark for mergers and acquisitions of other real estate companies to promote the healthy and stable development of real estate companies.Based on the above content,a research summary and a prospect of future research directions are carried out.
