Research On Supervision Of Independent Directors

Independent directors play an important role in the internal supervision of the company,the decision-making of the board of directors,the protection of shareholders' interests and the maintenance of the overall interests of the company.This paper starts with the theory of the functional positioning of the board of directors,discusses the functional positioning of the independent director through the theory of the board of directors supervision and the theory of the relationship between the board of directors,that is,both the supervision function and the relationship function,based on the supervision function and the core,and introduces the Fehr and Fischbacher third-party punishment game model and gao yue independent director supervision game model.This paper expounds the reasons for taking xizang listed companies as examples and the supervision status of independent directors of xizang listed companies.By analyzing the factors that affect the performance of independent directors' supervision,and analyzing the influence of these factors on the performance of independent directors' supervision and whether they are quantifiable one by one,this paper attempts to construct the performance model of independent directors' supervision.According to the positive or negative effects of various factors on the supervision behavior of independent directors,they are added or subtracted in the model respectively.Finally,the results of supervision behavior of independent directors are calculated and applied in xizang listed companies.Furthermore,it analyzes the reasons for the low performance of the supervision behavior of the independent directors,including the inability to directly create value,the lack of independence and the information asymmetry.Put forward to make Suggestions for improvement of independent director's better play to the supervisory function,including the optimization of corporate governance,create value maximization,increase the independence of the independent directors,as the voice of the independent directors to create a good environment,the shareholders' committee so as to strengthen the independent directors,evaluation and salary incentive,to set up the senior management about the function of independent directors to perform supervision and feedback mechanism.
