Innovation is the driving force of today's social and economic growth.Enterprise-based innovation is the key driving force for China's economic growth,and private high-tech enterprises are the ideal carrier for innovation and entrepreneurship.As China's emphasis on and demand for private high-tech enterprises is increasing,there are problems such as frequent talent flow in the development process.Therefore,enterprises can achieve the role of attracting and retaining core employees through the effective long-term incentive mechanism of equity incentives,thereby improving the performance of private high-tech enterprises and enhancing the overall innovation strength,thus contributing to the long-term development of enterprises and upgrading of enterprises.value.However,at present,China's private high-tech enterprises do not pay enough attention to the design of equity incentive schemes,and lack comprehensive and scientific research.The existing equity incentive scheme still has some problems,which affects the implementation effect.This paper first analyzes the status quo of listed companies that implement equity incentives in China,and finds that private high-tech enterprises have been the main force for implementing equity incentives.Starting from its existing equity incentive plan,it is found that there are still some shortcomings in the design of the contract elements in the plan.It is considered necessary to design a reasonable equity incentive plan for private high-tech enterprises.Therefore,under the guidance of human capital theory and incentive theory,this paper analyzes the contract elements of equity incentive scheme by combining the characteristics of private high-tech enterprises,and proposes reasonable design ideas.Combined with the case analysis method,it analyzes the motivation,contract element design and implementation effect of Anke Bio's equity incentive plan.The main motivation of Anke Biotech is to attract and retain talents,seize development opportunities to improve corporate performance,enhance competitiveness and corporate value,and continue to continue the incentive effect;from the design of contract elements,consider Anke Biotech's equity incentive plan The overall design is reasonable,but there are still some shortcomings in terms of incentive objects,incentive quotas,exercise prices;in terms of implementation effects,it is found that the two equity incentives implemented have achieved good market response and financial The overall performance has achieved good performance,which has also enhanced the company's R&D and innovation capabilities.Attract and retain core employees.Finally,a comprehensive evaluation was carried out,and some suggestions for improvement in the design of the scheme were put forward.
