Innovation and entrepreneurship is the requirement of the development of the new era in our country,and private high-tech enterprises are the important carriers of innovation and entrepreneurship.In recent years,the private high-tech enterprises in our country have developed rapidly,but in the process of development,they have exposed the insufficient investment in R & D.As a long-term incentive mechanism,equity incentive can attract and retain core technical talents scientifically and rationally,at the same time,it can encourage executives to make high-risk investment decisions about R & D innovation.To improve the R & D innovation ability of enterprises is beneficial to the long-term development of enterprises.However,due to the lack of comprehensive and scientific research and understanding on the design of equity incentive schemes,the existing equity incentive schemes are limited,and it is difficult for them to give full play to the expected incentive effect.In this paper,we focus on the design of the equity incentive scheme based on the characteristics of the private high-tech enterprises.It is helpful for the private high-tech enterprises to fully understand the key elements of the equity incentive scheme,to design a scientific and reasonable scheme,to stimulate the work enthusiasm of the core staff,and to improve the R & D innovation ability and the core competitiveness of the enterprises.Therefore,the research of this paper has certain significance and value.This paper first introduces the status quo of equity incentive of listed companies in China,analyzes the typical problems in the design of the existing schemes of private high-tech enterprises,and clarifies the necessity of research.Then puts forward the scientific and reasonable characteristics of equity incentive scheme in the theory of human capital.Under the guidance of mechanism design theory and incentive theory,combining the characteristics of private high-tech enterprises,this paper puts forward a reasonabledesign idea to the key elements of equity incentive scheme.Then using the case of Dahua Technology.The design and implementation effect of the scheme elements,the enlightenment of the scheme design and the reasonable suggestions for improvement are obtained.Finally,the main contributions of this paper and the shortcomings of this paper are summarized.The research prospect is put forward.
