Domestic banking industry after years of rapid development at the same time,while in the aspect of management conducted a series of reform and innovation,but most of these reforms did not touch to the bank the deeper issues of corporate governance,organizational structure,etc,with the deepening of the economic system reform,also exposed a series of risks,such as bad assets ratio rising,margins,internal control management failure,major events appear frequently,violations increased risks,etc.Many factors lead to the above problems emerge in an endless stream,but the root cause is the imperfection and imperfection of corporate governance.Only by accelerating the improvement of their own corporate governance can commercial Banks ensure their survival and sustainable development,and how to improve the corporate governance structure,make them keep pace with the development of banking business,improve their comprehensive competitiveness,and escort for sustainable development,is a problem and challenge faced by most Banks in China.On this basis,this article in J city commercial bank as an example,combined with an overview of J city commercial bank operation management,open channel information query and reporting,and a large number of field survey and interview,through the study of the external environment and internal regulations,the analysis of J city present situation and existing problems of corporate governance of commercial bank,and then put forward the improvement strategy of J city commercial bank corporate governance,and extend to other city businesses,summed up the enlightenment to other city business.Through research,this paper proposes six Suggestions for improving corporate governance of J city commercial bank.First,strengthen the integration of party leadership and corporate governance;Second,improve equity management;Third,strengthen the performance of corporate governance bodies;Fourth,improve internal control and risk management;Fifth,improve the incentive and restraint mechanism;Sixth,we will improve the environment for governance.
