Mixed ownership reform is a theme of state-owned enterprises in China,Mixed reform will help to stimulate the vitality of enterprises.With the increasing participation of state-owned enterprise in Chinese market,production costs and efficiency will be further optimized.However,by introducing social capital to operate state-owned enterprises together,it is difficult for mixed reforms to avoid the discussion of control rights.The independence of control rights in the corporate governance structure gradually manifests,it means the right to control,the right to speak for the company’s decision-making is handed.For this reason,under the background that the mixed reform is fully carried out in our country,it is urgent to carry out research on the control rights of state-owned enterprises in the mixed reform.Through discussing enterprise control rights,this article hopes to find the justification for the control rights of public enterprises that must be handed by state.This paper explores solutions for public enterprises to compete for control rights,and help the control of public enterprises in our country and protect the public interest from infringement.The article consists of three chapters:Chapter one,The theory and practice of corporate governance and control rights.This chapter sort out the evolution and development process of corporate governance structure and control rights,looking for the trend of increasingly independent control from the perspective of corporate governance.Based on the basic theory of control rights,two typical cases in the process of mixed reform are analyzed,namely Xugong Co.Ltd.and Zhonghuan Group,from it,the ownership and fight of control rights are put forward,which is main part of the article.Chapter two,The legitimacy of mixed-reformed public enterprises hold control rights.The opening part discussed the current problems in the concept and classification of state-owned enterprises,and advocated the use of the term public "enterprise" to define state-owned enterprises.It is believed that the control of public enterprises must be in the hands of the state.Chapter three,Suggestions for the Control of State-owned Enterprises’ Mixed Reform.This chapter is based on the third chapter.The problems of control rights that mixed-reformed public enterprises must face are listed from the prevention of hostile bidders to the defense after the takeover measures are taken.Explained and put forward suggestions for use.
