On The Reconstruction Of The System Of Supervisors Of Limited Liability Companies In China

As we all know,the supervisor in the modern corporate governance structure is to better deal with the complex corporate governance,which is the proper meaning of the application of the theory of power balance in corporate governance.As an important part of corporate governance,corporate supervisors play a key role in improving corporate governance,but this is not the case in reality.In particular,the research object of this paper —— the supervisor system of limited liability company(this paper only aims at the legal system of limited liability company,in view of the particularity of state-owned limited liability company).In practice,the supervisors of limited liability companies are not satisfactory,which is called "deaf ears" and "company vases ",which shows that the actual effectiveness of supervisors has not been recognized,and there are still many problems.Before that,the academic research on the supervisor system in corporate governance is relatively rich,but the general research scope is a limited company,a listed company or a general company as a whole,while the special research on the supervisor system of a limited liability company is relatively few.Therefore,under this background,the author tries to reconstruct the current supervision system of limited liability companies in China,break the current mode of supervision system of limited liability companies in China,and adopt a diversified governance model.At the same time,through the comparative study,the author relatively recognizes the German "dual system" governance model,hoping to be used for reference by our company law.The reconstructed supervisor system can prevent the supervisor organization from falling into the situation of "furnishings" and make the supervisor organization become the effective existence in the corporate governance structure.There are five parts in this paper,the first part is the introduction,which mainly expounds the importance of the company supervisor system in corporate governance,thus leading to the necessity of reconstructing the company supervisor system of limited liability companies in China;the second part is the theoretical elaboration,which mainly includes the theory of corporate governance and related concepts;the third part is the investigation of the present situation of the company supervisor system in China,mainly including the legislative combing of the supervisor system in China and the analysis of the related problems and its causes,which can provide the right remedy for us to study how to solve the problems;The fourth part discusses the beneficial reference of the legal system of foreign supervisors,compares and analyzes the typical corporate governance models of Mainland law countries and common law countries,so as to provide experience help for the reconstruction of the supervisory system of limited liability companies in China.The fifth part discusses how to break through the current governance model of limited liability companies and how to construct the supervision mechanism of internal supervision and external supervision.
