| The employee stock ownership plan of state-owned enterprises can make reasonable adjustment to the internal equity structure,realize the scientific optimization of the allocation of state-owned resources,further improve the corporate governance structure,and also help to play a corresponding incentive role for internal employees.By combining individual and collective interests,we can enhance the competitiveness of enterprises and enhance the cohesion of enterprises,and then strengthen the economic status of state-owned enterprises,which can effectively promote state-owned enterprises to fully play their main role in market development and economic society,and finally achieve the goal of successful reform of mixed ownership.This paper focuses on the case study of Company B,based on the incentive theory,human capital theory and principal-agent theory,and studies the employee stock ownership plan.Through the analysis of the implementation motivation,implementation situation and implementation effect of the employee stock ownership plan of Company B,it is found that the implementation of the employee stock ownership plan still has problems such as insufficient enthusiasm of employees,possible moral hazard,unclear rights and responsibilities of shareholding employees,and lack of long-term incentive effect.Further analysis shows that the main problems are the single source of subscription funds,imperfect management organization,and weak awareness of staff management and supervision Imperfect laws and other factors have led to the emergence of these issues.In response to the problems existing in the employee stock ownership plan of Company B,improvements need to be made in such aspects as enhancing employee participation enthusiasm,establishing independent institutions for management,clarifying the scope of rights and responsibilities of shareholding employees,and strengthening long-term incentive effects.At the same time,safeguards need to be provided in such aspects as improving the governance structure,emphasizing internal supervision,strengthening external supervision,and strengthening policy support.This paper analyzes the implementation process and effect of the Employee Stock Ownership Plan of Company B,identifies the shortcomings and causes of the problems,and provides targeted suggestions for the formulation of the Employee Stock Ownership Plan and its implementation.In addition,the research results of the employee stock ownership plan of Company B can also provide reference for other similar enterprises to implement the employee stock ownership plan. |
