| With the development of economic globalization,free flow of capital and rapid growth,competition on a global scale has become more intense.Enterprises must continuously optimize resource allocation and expand market share to ensure survival and development.M&A is an effective means for enterprises to effectively activate resources,optimize industrial structure,and seek growth.Hybrid mergers and acquisitions are a choice for companies to quickly enter other industries and achieve diversified development strategies.More and more enterprises are attempting to enter emerging industries through hybrid mergers and acquisitions to overcome difficulties and achieve strategic transformation.Under the green development model,traditional energy consuming industries have been strongly impacted.This paper selects the case of mixed merger and acquisition of new energy enterprise "Guangdong Jiana Energy Technology Co.,Ltd."(later referred to as "Jiana Energy")by building materials enterprise "Guangdong Daoshi Technology Co.,Ltd."(later referred to as "Daoshi Technology",stock code: 300409)to analyze its merger background,motivation and performance,with a view to providing reference value for enterprises seeking strategic transformation and resource integration.This article mainly uses literature research and case analysis methods to study the performance of Dow Technology’s hybrid merger and acquisition of Jiana Energy.Firstly,this article reviews research literature on M&A motivations and performance evaluation methods both domestically and internationally,and sorts out basic theories such as hybrid M&A and synergistic effects.Secondly,elaborate and analyze the basic situation,motives,and process of both parties involved in the merger and acquisition.Once again,evaluate the financial and non-financial performance of this merger and acquisition,further analyze the risks of this merger and acquisition based on performance,and propose relevant preventive measures.Finally,based on the overall analysis results,research conclusions and insights are drawn.After research,it was found that hybrid mergers and acquisitions significantly improved Dow Technology’s financial performance in the short term,achieving multi-party collaboration;In the long run,it has enriched the types of Dow technology business and reserved capital and strength for higher level development in the future.At the same time,there are also risks of uncertainty in entering new fields of operation,financial risks in mergers and acquisitions,and integration management risks.Enterprises should formulate robust strategies to respond.However,as a case study,it has certain limitations and needs further exploration. |
