In recent years,the national environment has changed continuously.Our economy continues to transform and upgrade under the support of the macro policy,and both the speed of development and the economic structure have produced a qualitative leap.As the main body of active economic activities,enterprises often take different ways to explore new opportunities,open new development and new attempts,and implement different forms of enterprise merger and acquisition activities in an effort to enable enterprises to obtain economic income,achieve scale expansion,improve economic value and enhance competitiveness.Due to the rapidly changing economic environment,Chinese enterprise mergers and acquisitions are in the initial stage,and risks and opportunities exist simultaneously.Some enterprises have loopholes in risk identification and control in the implementation of mergers and acquisitions,resulting in failure of mergers and acquisitions,which will have a huge impact on enterprises and make them pay a huge price or even go bankrupt.Even if the mergers and acquisitions have been completed,There will also be certain hidden dangers in the subsequent operation and development of the enterprise,and the process of merger and acquisition is destined to be difficult.Therefore,it is very necessary for enterprises to conduct sufficient investigation and research and take adequate analysis and prevention before M&A.This paper studies the existing literature and has a certain understanding of the causes,identification and prevention of risks in M&A activities.This paper introduces the case analysis of the merger and acquisition of the two companies,introduces the main situation of the two companies,the motivation and process of the merger.Quantitative analysis method is used to analyze the data of financial risks,and the model is used to evaluate the financial risks of mergers and acquisitions,so as to fully identify the uncertain factors in mergers and acquisitions,give early warning to the existing problems in mergers and acquisitions,and find targeted methods to reduce risks in time.After the analysis and research,the corresponding suggestions are given:first,strengthen the management of the fund budget,make reasonable use of the fund,and give full consideration to the enterprise’s development strategy and merger strategy combined with the involved free cash flow before payment.Give up the payment means that may cause the disconnection of the enterprise’s capital chain and affect the operation and development of the enterprise;Secondly,before the merger and acquisition process begins,the objective evaluation indicators are used to conduct in-depth due diligence on the merged enterprises and establish an effective evaluation system for the merger and acquisition enterprises.Thirdly,after the completion of the merger and acquisition,reasonable and effective financial integration should be carried out to give play to the synergies of enterprises and fulfill the performance commitments of the merger and acquisition enterprises. |
