| The construction of the board of directors’ operation mechanism is a vast and complex system,and a universal proposition.The study of scientific,standardization and standardization of the operation of the board of directors is both theoretical and practical.In the context of the current comprehensive deepening reform,the three-year action of SOE reform has been successfully concluded.A new round of deepening SOE reform action is ready to start.As the core hub of modern corporate governance,the board of directors,as the main body of company operation and decision-making,and as an important link of SOE reform,the scientific and standardized operation mechanism of the board of directors has a significant impact on the effectiveness of reform and development of SOEs.As a large state-owned energy enterprise,SM Group,after more than ten years of reform and development,has been formally cultivated as a world-class enterprise and has gradually worked out a more mature board of directors’operation mechanism in practice.However,the standardization and scientificity of the operation are not as good as the new requirements of deepening the reform of state-owned enterprises,creating a world-class enterprise and realizing the "modern governance".Compared with the new requirements of deepening SOE reform,creating world-class enterprises and achieving the goal of "modern governance",there is still room for optimization.In view of this,along with the direction of reforming state-owned enterprises to build a modern enterprise system with Chinese characteristics,based on the theories about the operation mechanism of the board of directors in corporate governance and the rich achievements and advanced experiences in the operation practice of the board of directors of advanced enterprises at home and abroad,through a large number of theoretical references and literature analysis,questionnaire surveys and data analysis,the operation practice of the board of directors reform,as well as the summation of the work experience of the board of directors for many years,the current situation of the operation of the board of directors of SM Through extensive theoretical references and literature analysis,questionnaire survey and data analysis,board reform and operation practice,as well as years of experience in the board of directors,the current situation of the board of directors of SM Group is systematically sorted out.Based on the questionnaire,we analyzed the problems in detail and put forward the principles of optimizing the operation mechanism of the board of directors of SM Group,clarifying the boundary of the authority and responsibility of the board of directors of SM Group,constructing the management system of the external directors of SM Group,strengthening the construction of the special committee of the board of directors of SM Group,improving the evaluation subject and content of the board of directors of SM Group,and improving the accountability of the directors of SM Group and the corporate At the same time,six assurance measures in the areas of system,culture,information,personnel,organization and capital have been arranged to ensure the implementation of the optimization measures of the board of directors’ operation mechanism.In a sense,the standardized operation of SM Group’s board of directors is not only related to SM Group’s own development,but also mapped to the reform and development of state-owned enterprises.The innovative optimization ideas and initiatives developed in the study have a certain significance for the optimization and reform,and development of the board of directors of state-owned enterprises. |
