In recent years,as the pharmaceutical reform has entered the deep water zone,the policies related to medicine have been continuously implemented.The pharmaceutical retail industry,as the terminal of the pharmaceutical industry chain,has attracted much more attention,and the scale of drug retail has gradually increased,bringing good development opportunities to the whole industry.Affected by the stricter industry regulation,the integration trend of the retail pharmacy industry is increasing under the promotion of policy and capital.In order to protect themselves,many small and medium-sized chain drugstores began to seek buyers.As the industry’s top chain drug retail enterprises,in order to expand rapidly,they have also offered olive branches of acquisition.In this wave of mergers and acquisitions boom,Yifeng big pharmacy is a fast and good one.Since 2015,this paper has studied a series of strategic acquisitions of Yifeng Pharmacy,deeply analyzed its specific implementation path,and learned some successful experiences,thus improving the application of this case in the same industry.In studying a large number of literature,combing strategic mergers and acquisitions,economies of scale,competitive advantages,on the basis of related theory,through case analysis,big pharmacy since 2015 to implement a series of strategic m & a behavior as the research object,combined with the industry development background and m & a motivation,to big pharmacy strategic m & a implementation path,specific from the target company before acquisition analysis,to payment and financing of merger and acquisition analysis,finally to the integration mode analysis after merger and acquisition.Yifeng Pharmacy’s series of strategic mergers and acquisitions have good performance.It summarizes the path of its strategic mergers before,middle and back.Before acquisition,the enterprise should define its own development strategy and adhere to the strategic layout of core area and market penetration;During merger,the source and payment form to ensure stable financial stability,and adopt proper integration mode based on its own advantages.Face the rapid integration of the pharmaceutical retail industry period,yi feng big pharmacy clear own development strategy,adhere to the regional focus and regional deep parallel guidance,based on their own financial situation reasonable choice of financing and payment methods,relying on the core competitiveness of mergers and acquisitions,has obtained very good effect,the mergers and acquisitions of similar companies has a good reference value.
