Merger and acquisition has both advantages and disadvantages.Whether a company is in a rising period or a declining period,one of the ideal means for it to seek rapid growth is merger and acquisition.People work hard and hope to realize the ideal through merger and acquisition,but very few person can be succeed,on the contrary,failure cases are everywhere.Because many people ignore the huge risks hidden in merger and acquisition,there are many failure cases of merger and acquisition.The intuitive result of merger and acquisition is that the market value of the enterprise decreases rapidly,even causes bankrupt of the enterprise.It is related to the concept of merger and acquisition,as well as other factors,such as experience,integrated management and technical strategy.According to Donald DePamphiliS Mergers,Acquisitions,and Other Restructuring Activities,the most decisive factor in the failure of merger and acquisition is that the integration process is slow due to the unfavorable integration after merger and acquisition.Integration is to connect some scattered things with each other in some way,so as to achieve the sharing resource and synergistic effect,and then form a new and valuable organization.The success of merger and acquisition not only depends on the investigation before merger and acquisition,common points in production and operation of the two sides and the management in the process of mergers and acquisitions,but also depends on the integration of various elements of the two enterprises after merger and acquisition.Therefore,based on the current situation of domestic merger and acquisition,in order to improve the probability of the success of merger and acquisition of Chinese enterprises,this paper is committed to the study of the integration of the two enterprises after merger and acquisition.Based on X group,a Fortune 500 company and Q company,a Listed company and the leading company of C4 of the domestic market,this paper analyzes the merger and acquisition of these two company through the strategic integration,organization and management integration,human resource integration and cultural integration in strategy.Through the analysis,we can find out the necessary process and principles of integration after merger and acquisition and put forward integration experience according to the actual situation of the company.The first chapter is the introduction and it describes the background,purpose,content and methods of this article.Due to the influence of the international petroleum and chemical industry in recent years,Q company needs to raise funds in order to seek development.In order to achieve the purpose of listing,X group acquired Q company.Through the methods of literature research and case analysis,this paper mainly studies the integration measures of merger and acquisition based on a private enterprise and a listed company,in order to provide reference value for the domestic merger and acquisition in the future;The second chapter is the literature review,introducing the basic concepts and theories involved in the paper,as well as the domestic and foreign research,in order to provide a theoretical framework for subsequent research;The third chapter introduces the basic situations of both companies,merger motivation,the program,and analyzes the integration process,the specific content involved in the integration based on strategy,organization and management,human resources and culture;The fourth chapter is the experience and enlightenment of X group's merger and acquisition of Y company.From this paper we can know that selection of suitable objects is the basis for the successful merger and acquisition.Then,integration plan of merger and acquisition should be made and regarded as a continuous and changing process.Finally,effective resource integration is the key to the success of merger and acquisition;The fifth chapter is the conclusion.It mainly summarizes the case.This is a successful merger and acquisition case.For Q company,it achieves the growth of corporate profits and enhances the influence in the industry.For X group,it realizes the demand for listing,extends the industrial chain and realizes the diversification development strategy needs.The acquisition has improved the performance and value of both parties.
