Research On The Synergistic Effect Of "Secote Co.ltd" Series Mergers And Acquisitions

Secote co.ltd-as a leading consumer electronics automation equipment industry enterprises,to complete the upgrading of industrial structure,access to synergies,seeking better self-development,the company adopted a series of horizontal M&A.Listed companies and target companies have objective conditions in terms of industrial chain,product structure,customer resources,technical talents,management effectiveness,and fund brands.Sharing customer groups,absorbing technical talents,restructuring resource allocation and financial management channels to maximize the synergy effect after mergers and acquisitions.In order to explore the results of the synergy effect of the listed company,whether the advantages of the target company are complementary as expected after the merger,and the advantages are exploited and the weaknesses are avoided,and the synergistic effect is exerted.Under the premise of studying a large number of literature on synergies,this paper is supported by synergistic effect theory,scope economy theory,scale economy theory and efficiency theory,and the mechanism analysis is carried out on the basis of this theory,and the synergy effect is evaluated by the event research method and the financial index method.The main ones are:(1)using the event method to study the impact of M&A activities on the short-term market performance of listed companies based on the CAPM model;(2)The financial index method and comparative analysis method are used to study the impact of M&A on the performance of listed companies,and the synergy effect and resource integration after the merger of Secote co.ltd are discussed,as well as the areas to be improved.The results of the research show that:(1)M&A has produced a certain degree of business synergy.The increase in sales revenue,the enhancement of R&D capabilities,the increase in technical talents,the acquisition of Lingou Technology and the acquisition of Optima Co.,Ltd.have all improved the overall shareholder value of the company to a certain extent,which has a positive effect on the company’s performance.(2)Management synergies and financial synergies are not obvious.A number of the company’s financial indicators and capabilities have been weakened.Therefore,this paper suggests: reasonable and appropriate mergers and acquisitions,effective control of the integration process;Accelerate asset turnover and improve management capabilities;Coordinate and optimize costs and save costs;Pay attention to foreign markets and avoid foreign exchange risks.
