| The reform of state-owned enterprises is an important part of China’s economic system reform.In 2013,the Third Plenary Session of the 18 th CPC Central Committee proposed the direction and task of further deepening the reform of state-owned enterprises.In 2016,SASAC identified five central enterprises including China Railway,China Merchants Group and Dongfang Electric as pilot enterprises,and began to explore the construction of compliance management system.In this context,in 2017,the group headquarters of Y Aluminum Company(group A)was successfully included in the pilot enterprise of restructuring state-owned capital investment company of Guangxi Zhuang Autonomous Region,and began to carry out reform within the authorization of SASAC of Guangxi Zhuang Autonomous Region,and promote the construction of compliance management system from top to bottom.As a three-level enterprise of a group company,y aluminum company constructs an effective compliance management system,which is an inevitable requirement to undertake authorization and compliance operation.In this paper,through careful study and comparison with the domestic "compliance management guide" and "central enterprise compliance management guide" and other major compliance management theories,and using the methods of literature research,interview,investigation and statistical analysis,the author deeply analyzes the current situation of Y aluminum company’s compliance management from the Perspective of theoretical background,current situation analysis and development power,It is found that there are mainly four problems in Y aluminum company,including the lag of compliance management culture construction,unreasonable compliance management organization,imperfect compliance management system,and unsmooth compliance management operation mechanism.Then,it is pointed out to promote the implementation of compliance management culture,establish compliance management department,improve rules and regulations,improve risk assessment ability,and improve the quality of compliance management Focus on key areas of compliance management and other aspects,put forward ideas and measures for improvement,and then through practice feedback to continuously improve the system to build a compliance management system in line with the development of Y aluminum company,improve the compliance management level of Y aluminum company and the ability to manage the enterprise according to law.The purpose of this paper is to study how to build the compliance risk management and control system of state-owned enterprises under the operating environment of national policies,industry norms and internal authorization,so as to ensure that the authorization is "granted,accepted and carried out stably",so as to ensure the compliance operation of enterprises according to law and prevent the loss of state-owned assets,which is of great significance to the maintenance and appreciation of state-owned assets and the promotion of high-quality development of enterprises.At the same time,it also provides reference for the compliance construction of similar state-owned enterprises. |
