Employer stock ownership plan (ESOP), which originates the west country, have rapidly developed after 1970,have been gradually popularized in the enterprise society, becomes a kind of valid organizational formation of property right. In the process of investigating multiple realization formation of public ownership under socialism market economy in our country, some forms of property right organization, which resemble ESOP, are also produced. But ESOP is newborn in our country, practical ways of doing of each region and each departments differ entirely and need be regulated. Therefore, the study of ESOP is of great immediate significance to the reformation of government-owned enterprises in our country.The kernel viewpoint of my thesis is that enterprise is special contract of manpower capital and object capital. Employees can rely on the value of manpower capital to possess ownership power of enterprises. ESOP is an important form of modern enterprise system. The fundamental frame of my thesis as follows:In chapter 1,1 definite the concept of ESOP and analysis it's essential features, introduce analytic methods , framework, meaning and innovations of my thesis.In chapter 2,1 expound fundamental theories of ESOP. From the angle of ownership theory of enterprises, I point out that enterprise is special contract of manpower capital and object capital and analysis the determinative factors of quantity and and efficiency of employee holding company, which establish the foundation of study of ESOP.In chapter 3,1 investigate and analysis reality, fundamental features and concrete fashions of ESOP of USA, Japan, Germany, Spanish. I particularly introduce contents of USA and Japan in detail.In chapter 4,the article expounds the meaning, effect and form of Executive Stock Option, analyses major several implementing plan and program process of ESO and administrator loaning acquisition in enterprise.In chapter 5,1 expound relations of ESOP and institutional innovation. From the angle of innovation of modern enterprise managing structure, I point out that ESOP is an important actualizing form of modern enterprise system and is of great immediate significance to the reformation of government-owned enterprises.In chapter 6,1 generalize the developmental history and features of ESOP in our country. Based on those analysis, I conclude that ESOP has three expressional forms ,which are stock cooperation, employee holding company and administrator holding, introduce representative cases of each type.In chapter 7,1 bring up that government-owned enterprises should choose the different strategy of ESOP according to classifications and the advice of executing principles, inner employee holding company and administrator holding etc .At last, I study policy environment of establishing ESOP from macroscopic aspect.There are seldom specialized study writings in domestic academic field, my thesis has some innovations in several aspects: (1)from the essence of ESOP, stock cooperation, employee holding company and administrator holding are taken in thecategory of ESOP; (2)I point out that the source of ESOP is the contribution of manpower capital in enterprise. Employee should rely on their economic value to acquire part ownership of enterprise; (3)1 affirm that ESOP is an important actualizing form of modern enterprise system ; (4)I bring up that government-owned enterprises should choose the different strategy of ESOP according to classifications.
