Research On Parent And Subsidiary Companies Control Mode Design And The Empirical Research On Its Influence Factors

Enterprise group as the pillar of the national economy, the perfect degree of its corporate governance structure directly relates to the success or failure of enterprise reform with the establishment of a modern enterprise system as the goal. But now, the majority of the corporate governance research in our country is based on the listed companies, less on the enterprise group governance. With the deepening of the enterprise collectivize; corporate governance problems became apparent because of the complexity of enterprise group. Parent and subsidiary companies relationship is in the center of the enterprise group's internal relationships, so parent and subsidiary companies relationship is the core of enterprise group management control. How to choose a relatively reasonable parent and subsidiary companies control mode, manage and control subsidiaries effectively in order to play the Group's overall edge is the core of this study.The thesis is structured as follows. Chapter 1 introduced the research background, purpose and the domestic and foreign relevant research situation, the research significance, the research ideas and methods. Chapter 2 presented the theoretical basis of the papers and defined the related concept of the paper. Chapter 3 put forward the parent and subsidiary companies of management controlling system structure from the angle of system theory and cybernetics, build the research framework of the parent and subsidiary companies management control system. Chapter 4 put forward the theoretical analysis and research hypotheses of the parent and subsidiary companies control mode effect factors according to the domestic and foreign relevant literature research, and do an empirical studies by using questionnaire survey, and conducted by descriptive analysis, correlation analysis, multiple regression analysis method for empirical test. Research results show that the parent company management level, level of integration of the parent company and subsidiary company, environmental factors, subsidiaries affiliates by holding degree, industries of subsidiaries for the influence of the parent and subsidiary companies control mode is significant.
