Securities Investment Funds is an important financial institutional and financial instrument in modern economy. It affects the form and structure of modern financial, affects the people's decision of investment and socio-economic development greatly.Securities Investment Funds, originated in England, but ripens in American. By year-end 2004, American mutual funds assets totaled $ 8.1 trillion, nearly 51 percent of total assets of opened-end fund of world in all. In 1991, the Securities Investment Funds was introduced in China, Securities Investment Funds can be seen as a kind of new thing. But, it has developed rapidly in recent years, and came to a new stage of development in 1998. Today, it plays an important role in economy and capital market. The assets of Securities Investment Funds has reached $469.11 billion at year-end 2004, and held nearly 50 percent of all publicly traded stock shares in China.Along with the developing of Securities Investment Funds, it is necessary to study it's history of development, corporation governance and so on completely. In this dissertation, from the view of comparative study, we analyze the funds'history of development, corporation governance and so on. We conduct theoretic research and practical investigation and bring to light the difference of engendering, operating condition of the two countries'funds.
