From 1990s, there became the third tide of world banking restructuring in which the cases of restructuring emerge in endlessly, and the record of amount involved is often broken. At the same time, banking reform in China has also made great progresses, where we are paying more attention to the state-owned banks. On the one hand, Chinese financial industry whose principle part is banking is still developing and too weak to compete with foreign banks, on the other hand, competition is coming very soon. Under this condition, how to decrease the gap between the banks in our country and that in developed countries and how to increase the ability of competing become a problem that being paid much attention to.Small-Medium banks are very important in our banking system and they can do a lot to sustain the development of national economics. But at present, small-medium banks are facing many problems and eager to find a suitable reform path. Restructuring is a short cut for them to consummate their corporate governance and increase their ability of competition. However, restructuring is also a two-edge sword which takes both hope and risk to the banks. Therefore, how can small-medium banks make good use of restructuring is the emphases of this paper.Small- Medium banks are the main object to research in this paper, the author does systematic research to the problems about existing, developing, and restructuring of small-medium banks in china, using theories including institutional changing theory, industrial organization theory , transaction cost theory, and game theory,The reform of banking in china took the path of partial equilibrium institutional change and the small-medium banks are result of increment reform. The procedure of banking reform leaves precious time for the development of small-medium banks, while the national banks that quit from small cities and countryside provide space for it. This given route provides the institutional bases for small-medium banks. At the same time, effective banking structure needs small-medium banks, and the development of small-medium enterprises also needs small-medium banks, which form the requirement to small-medium banks.
