From the angle of the source and allocation of organization rights, this thesis, in which economic analysis of western human capital is its main thread, is to analyze human capital systematically. For specific analysis purpose, Theodore W. Schultz and other economists put forward human capital theory in western economic paradigm. New Institutional Economics also takes human capital into its analysis framework when it analyzes enterprise issues. In fact, human capital is not a scientific and accurate concept. It can not solve the theoretical difficulties Neoclassical Economics embraces, which is contradictory to Schultz's former expectation, much less become one of the powerful tools to build enterprise theory. More importantly, after human capital theory was introduced into China, many scholars unconsciously shift it into the framework of Karl Marx's capital theory, thereby causing a series of theory confusion.The following is our focus: western capital theory and Marx's capital theory fall into two different paradigms. Labor and capital bear different status and relationship in two paradigms. In Marx's economic paradigm,"labor"does not have the fundamental characteristics of capital. Therefore, it can'not become capital. Enterprise is an economic organization of which productiveness is the core nature and contract is the derivative nature. Its source of power is neither capital nor human capital, but rather ownership. Ownership contains two dimensions in economic organization. One is economic—the confirmation of property rights especially labor property rights, the second is ethical—the realization of justice principle. The realization of oenership has two aspects: one is existence and development, the other is respect and participation. There are three approaches to realize ownership: share residual claim right, residual rights of control, management and participation.Organization residual is not caused by proliferation of human capital and non-human capital. The residual comes from the use of labor. The basis of labor's participating in organization rights allocation is not the requirement of the ownership of human capital, which is the crystallization of the labor. Labor's ownership principle is its fundamental basis. Enterprise rights allocation which is based on ownership is a combination of efficiency and justice and also the verification of human capital theory.The thesis consists of seven chapters. The first chapter is introduction, whichmainly introduces some basic questions. The second chapter simply lists and discusses development clue and the current study situation of human capital theory at home and abroad. The third chapter compares and analyzes the relationship between labor and capital in Marx and western economics paradigm, explaining"labor"is non-capital in Max economics. The fourth chapter dwells on the category and theoretical essence of human capital, also states human capital is"non-capital"in the definitions of several representatives of this theory and the reason why"labor"can't be capital. It explores that the basic meaning of human capital is human resource. The core of human capital theory is contradictory to the way of analyzing. It also has many defects in its application of New Institutional Economics theory. The fifth chapter focuses on the confusion between theory and practice because of paradigm conflict after it has been introduced into our country; the scholar's disagreement on the relationship between human capital and labor; the misleading of human capital providing funds and getting the share; the weakness of the theory of"labor employs capital". According to the enterprise nature, with the help of division of labor and behavior theory, this chapter makes a new explanation of the relationship between capital and labor. The sixth chapter criticizes and modifies human capital theory through labor property rights category. And it proves the pseudoscience nature of the source and allocation of organization rights in human capital theory from an angle of pure economic factors. The seventh chapter revises and develops human capital theory through introducing the category of ownership. It demonstrates ownership is the real source of enterprise power and ownership confirmation is the final basis of enterprise rights allocation. It is the sincere and final verification of human capital theory which only deals with"object"but not"labor".
