As a kind of social organization form, the basic purpose of enterprise management is to create value. While the growth of enterprise value depends more and more on enterprise's organizational capital, strengthening organizational management becomes the key point of enterprises' survival and development. Organizational capital is not only the rare resource for enterprise's competition and development but also the key resource for enterprise's stable operation and sustainable development. How to use and manage organizational capital effectively for fully exert of its potential has become the reality that China's enterprises, especially knowledge enterprises, need to deal with. However, the theory of the organizational capital only is composed of some pure concepts and simply logic analysis, and greatly not constructs a thorough and scientific theory system. There is little research on the key problem of how organizational capital creates value and how to improve its value-creating ability. Though, some enterprises pain attention to the effect of organizational capital, there is no efficient method to follow.On the base of systematic analysis the deep mechanism between organizational capital and enterprise value, this paper divides the process of organizational capital creates enterprise value into two periods of quantity accumulation and use. Enterprises running results in two periods decide organizational capital's value creation potential and value using ability. Accordingly, this paper manages organizational capital from two periods. The first period is to manage value creation potential of organizational capital, which is to improve the stock of organizational capital. The paper reveals the mechanism of the growth of organizational capital by means of Bass model. Knowledge learning and organization innovation interdependence and mutual influence, they promote the growth of organizational capital together. Knowledge learning is the fundamental way for the growth of organizational capital, while organization innovation guides the direction and range of the change of knowledge learning. The second period is to manage value-extracting ability of organizational capital, which is to improve the utilization efficiency of organizational capital using. This paper discusses how to construct a value-extracting mechanism for organizational capital to adapt to the changing environment from the strategic management point of view. At the end of this paper, we put forward an evaluation model of value-creating ability. Base on the theory analysis, we construct the evaluation index system of value-creating potential and value-extracting ability of organizational capital, and get the weight of each evaluation index by means of AHP. Then we choose 32 enterprises in Dalian's software industry as sample, and use the evaluation model to analyze the sample.
