Enterprise information publicity system is a new system that emerged with the reform of company capital system in recent years.It is one of the main supporting systems to ensure company transaction security under the background of registered capital relief legislation.Enterprise information publicity system is an upgrade of the traditional enterprise registration publicity system.The scope of public information is broader and the system contribution is very prominent.However,in contrast to the attention that should be paid to it as a new system,the academic circles are still indifferent to its research,and the research on both internal logical mechanism and external system practice is relatively weak,not systematic and in-depth.Therefore,the core issues of this paper are that what is the intrinsic theoretical logic of enterprise information publicity system,what are the problems faced by China’s enterprise information publicity system in practice,and how to improve the existing problems.Enterprise information publicity focuses on protecting transaction security and the interests of creditors,which is different from the information disclosure of listed companies aimed at investor protection.Enterprise information publicity system is closely related to enterprise registration system.Enterprise registration system provides the system supply for enterprise information publicity system.Compared with enterprise registration system,enterprise information publicity system has a significant system upgrade.The value of enterprise information publicity system is the balance between safety and efficiency.The idea of enterprise information publicity system is the re-division between government and market.The function of enterprise information publicity system is the equilibrium of market order under the guidance and encouragement of the system to the behavior of market subjects.Institutional economics theory and credit theory provide a theoretical basis for this system.Based on the investigation of the current situation of enterprise information publicity system in China,and in view of the problems in scope of publicity,effect of publicity,legal liability,list of business exceptions,we should improve enterprise information publicity system from four aspects: the definition of the scope of enterprise information publicity,the clarification of the effect of enterprise information publicity,the improvement of the legal liability mechanism of enterprise information publicity,and the improvement of the list system of business exceptions.
