The UNIDROIT Principles of International Commercial Contracts 2004 (hereinafter referred to as UNIDROIT Principles 2004 or Principles) is one of the latest, representative, and authoritative commercial contracts. The Principles was set up by UNIDROIT, and the first edition was published in 1994. With ten years efforts and based on the first edition, a new edition (the 2004 edition of the Principles) was published in April,2004 in English and in French. Many domestic legislatures have selected it as one of the sources of inspiration to amending domestic contract laws including the Contract Law of the People's Republic of China in 1999. And the Principles is playing more and more important role in settling the disputes in contracts. Thus the translation and explanation of the Principles are in urgent need.The author, considering the importance of the Principles, makes a comparative study of the English version and its Chinese version and makes comments on the Chinese version on the basis of the research on the features of legal English, with the hope to summarize the features of legal English from morphology, syntax and style and translation criteria, by which the author hopes to make contributions to the legal document translation.The thesis consists of five parts:Part one:the author introduces the definition of legal English and its characteristics;Part two:the author gives a brief introduction to the definition of translation, the criteria and the principles of legal document translation.Part three:the author introduces briefly the English version and the Chinese version of the Principles 2004.Part four:the author makes comments on the Chinese version of the Principles 2004 from words, sentence structure and style, pointing out the merits and some defects and giving the suggested versions.Part five:a brief conclusion...
