Institution is an important phenomenon in human society,in the historical process of human and social development,institution accelerates the development of human beings , as well as the process of society. Marx and North have both done research on this. They regarded institution as an important factor of economic growth and social progress.Although Marx and North both consider institution as a research object and there are some similarities between them,these two theories have different theoretical logics, reach method and position of class on the base of different value judgments and world outlook. These differences manifest as follows:the foundations of institutional researches is individualism methodology or holism methodology, transaction or productivity;institution is a kind of natural phenomenon or a kind of historic phenomenon; the motivation of the institutional change is productivity or relations of production; the capitalism is a final mode of institution in human society or a historical stage of institutional change. Therefore we carry out a comparison of institutional theories of Marx and North from the aspects of the category of institution, property rights, nation, ideology and social institutional change, try to excavate, induction and innovate two kind of institutional theories from philosophic angle.There are 6 Parts include preface in this paper. Part 1 is preface. Part 2 compares the institutional category of Marx and North from the three aspects of concept, origin and essence of institution. Chapter 3 compares property theories of Marx and North. Firstly, analyses three concepts of the dialectical relations of property rights, system of ownership and ownership; secondly, compares two origin and essence of property rights; finally, points out the methodological limitation of property rights of North. Chapter 4 compares national theories of Marx and North. This chapter includes 4 parts. Part 1 compares national theories of Marx and North from the two aspects of origin and essence of the nation; Part 2 discusses the phenomenon of"national contrary theory"and Marx's and North's responses to the phenomenon. Part 3 and 4 discuss the influence of Marxism on national theory of North and the limitation of the national theory of North. Chapter 5 compares ideological theories of Marx and North. Firstly, analyses what is ideology; secondly, compares their ideology theory from two aspects of character and function of ideology theory; finally, points out the class limitation of ideological theory of North. Chapter 6 compares social institutional change of Marx and North from aspects of the way of construction, corpus, motive and path of institutional change.The arrangement and thought of the several chapters goes in this way: Firstly, discusses the essence and core standpoint of institutional theories of Marx and North; secondly, analyses the connection and the differences that exist in their institutional theories, and the reasons of the connection and the differences; finally, evaluates their theories.
