Book of Lord Shang is an important book in Ancient times of China. Basically, it can stand for the ideology of Shang Yang. Based on the previous work, this dissertation will deal with Shangyang's thoughts in Book of Lord Shang from the perspective of management. The ideology of Shangyang not only roots deeply in the culture of origin, but also has strong theoretical basis of management philosophy. Firstly, Jin dynasty culture which produced legalism culture, the culture celebrities'management ideas in pre-qin dynasity, Jiang Shang's Utilitarian Theory all had a profound effect on ShangYang's management ideology; Secondly, ShangYang recognized human nature from experience aspect, but it did not make value judgments, concluded that human nature, which is the integration of naturality and sociality, benefit good and evil harm. Based on human nature and the reality, ShangYang adopts rule of law management due to human nature, makes"rule of law is rich"as its management object and ShangXing Reward and Punishments as its encouragement. On the management content he made constraint management according law, made control management based on utilitarian first and concentration. In terms of management efficiency, he paid much attention on controlling at the first time. On talents management, he made talent person and the work they can do as choosing standard. As management, ShangYang's ideology served for goals of prosperity and strength. The ideology that Shangyang advocated become the basis of the management of Qin dynast which got stronger by putting it into practice and furthermore united China. ShangYang's management ideology had a profound impact on history and management of China future generation, it is also an important resource management ideology as for today.
