The executive incentive has been a problem that catches the attention and eyes of the enterprises most, especially during the Chinese enterprises' changing process from the planned economy to the market economy. The lack of the incentive mechanism causes lots of abnormalities. This article brings up the problem of executive incentive by three cases on failure of three executives. Through some theoretical analysis and discussion on the Western practice of the executive incentive, it explores the long-term incentive, the executive stock option (ESO). It probes into the form, condition and the value analysis on stock option, and puts forwards the practical significance of ESO in China. It discusses practice and some problems of stock option in China, and raises the practical plan of stock option in China under China's present condition.There are two points of innovation of this article: one is to put forward the idea of "under the present condition, ESO is not the real incentive of stock option; the second is that it differs from the past stock option, which was based on the present laws, and focuses on the stock option incentive plan on the resent system, laws and regulations. It is hoped this article can provide a certain reference to the practical operation.
