The Study On The Pattern Of Corporate Governance For Chinese Large-scale State-owned Reformed Enterprise

Corporate governance is a result of modern enterprise development. Corporate governance is a group of systems that specify the responsibilities, rights and profits of every party related to the legal person's possession. This system can restrict and prompt the administrators through restraint to meet the rights and interests of stock holders and stake holders as much as possible.Large-scale stated-owned enterprises have played an important role in national economic construction, their success or failure will directly have to do with the level and capability of national economy development. Therefore, it is significant practically to study the selection and the design of the corporate governance patterns during the reform of large-scale state-owned reformed enterprises.On the basis of the latest results of theories and practices about the corporate governance at home and abroad, the article summarizes main defects about the large-scale stated-owned reformed enterprises at present. The article also analyzed and optimized these problems in order to give a pattern or its operating clew for the corporate governance pattern of large-scale state-owned reformed enterprises.The corporate governance of large-scale state-owned reformed enterprises should comply with the situation of China and the physical circumstances of different enterprises. The article only discusses two types of optimized patterns for corporate governance: optimized pattern of corporate governance of national sole proprietorship company or state-owned proprietary company. The national sole proprietorship company adapt to apply stockholder administration pattern. At the same time, co-administration pattern of those correlated with profits is suitable for the state-owned proprietary company.
