The development of state-owned enterprises in China, experienced thetransition from a planned economy to a market economy, especially in the30years since the reform and opening up, with the constant improvementof China’s state-owned assets management system reform and the marketeconomy system, the reform of state-owned enterprises a huge development,state-owned economy plays a pivotal role in China’s economic developmentprocess, also took on a large number of social responsibility. With thedevelopment of market economy, the establishment of a modern enterprisesystem to become one of the main objectives of the development of China’sstate-owned enterprises, the amendments to the Companies Act, theestablishment of modern enterprise system and to improve the corporategovernance structure of state-owned enterprises put forward higherrequirements. However, China’s state-owned enterprises development froma historical perspective, has a special background as well as manyhistorical factors, the recent years, with the deepening of the reformof state-owned enterprises restructuring state-owned enterprisesgovernance emerged restricting China’s state-owned enterprisesdevelopment. How to make China’s state-owned enterprises, and improve allaspects of governance system under the guidance of the "Company Law" toregulate the normal operation of enterprises, the formation of a soundsystem of corporate governance of state-owned enterprises, bothstate-owned enterprises to shoulder the special mission, to becomeChina’s state-owned enterprises governance main content. Try this articlefrom the point of view of corporate governance, the basic situation ofthe governance of the development status of China’s state-ownedenterprises and state-owned enterprises, the analysis of the corporate governance structure of state-owned enterprises in China, there are stillsome problems, combined with advanced experience in the corporategovernance of state-owned enterprises in developed countries abroad, madesome obvious and thinking of how to improve the corporate governancestructure of state-owned enterprises in China.The structure of the paper is divided into four chapters. The firstchapter describes the concept of corporate governance and corporategovernance structure, basic features of our corporate governance shouldadopt a broad concept of corporate governance, and a brief descriptionof the several models of corporate governance in the world. Chapter IIwas introduced by the reform and development of China’s state-owned assetsmanagement system and state-owned enterprises, and highlights thedevelopment of the reform of state-owned enterprises in Shanghai, summedup the history, current status, and the basic characteristics of thecorporate governance structure of state-owned enterprises in China.Chapter surviving in the corporate governance of state-owned enterprisesin China from the macro-aspects and micro-level focus. Chapter by foreignstate-owned enterprise corporate governance history and case analysis,explore thinking based on departure from perfect laws and regulations andState Assets system, proceed from internal governance and externalgovernance, targeted to strengthen China’s state-owned enterprisescountermeasures and suggestions of corporate governance.
