Research On Problems And Countermeasures Of Corporate Governance Of Chinese Public Corporations

In the 21 century,whether China stands in the forest of powerful countries or not will be decided by Chinese sustained,stable and high-speed economic development. In turn,it will need a group of modernized corporations with international competitiveness. The modernization hereof involves not only modernization of technology and equipment,but also modernization of managerial systems. During the days of economic globalization,the competition of corporate governance has turned into institutional competition. Therefore,the corporate governance is a presupposition for China to meet and win future challenges in the new century and it will be of both theoretical and practical significance to study it.First of all,this thesis introduces basic concepts of corporate governance as well as historical source of corporate governance movement. Then,on the basis of analyzing the present situation as well as reasons,it lists problems of Chinese corporate governance as regard to stock-holding structure,organizational structure,motivating mechanism,supervising mechanism and so on. Aiming at these problems,it puts forward countermeasures such as adjusting stock-holding structure,strengthening board of directors,cultivating market of managers,improving supervising mechanism and so forth. Finally,the thesis,according to Chinese reality and foreign experiences,proposes policies such as strengthening market supervision,fostering institutional investors,reinforcing banks' function in corporate governance and framing corporate governing principles fit for Chinese situation as soon as possible.It is a systematic engineering to improve the corporate governance of public corporations in China. It can't be accomplished overnight or disconnected with Chinese situation,or copy foreign experiences. It needs extended common efforts of the society,the government and the enterprise.
