The result was that the nation's market system is often unrestful. At present, the reformation question of Chinese corporation becomes one of the focuses of the world, which is emphasis on the corporate governance of China listed firm. Because the studying in corporate governance of China listed firm is in primary strings and China is in transition economies, facing to the seasoned multinational corporation with perfect corporate governance, what Chinese listed firm must do is to mend their pace and acclimate the economics global trend. Therefore, it's necessary to deeply research the corporate governance of China listed firm and find the key questions, accordingly table the effective proposal.This paper mainly researches the corporate governance of smart corporation in stock market, whose character is that it can always have seem pace with the development of economics. The method of study is theoretical analysis and empirical analysis. In the first place, we define the signification of Smart Corporation, and present the definition and characteristics of Smart Corporation. According to the examination of Smart Corporation' adjustability to the economy, we find out 18 Smart Corporation from Chinese listed firms. Then this paper reviews the theory of corporate governance briefly and summarizes the models and framework of corporate governance of smart corporations.
