This paper considers that the development of stateowned enterprise has becoming depended on its manpower resource and the competition about mans of ability between enterprises becomes white-hot. But most of stateowned enterprises in our country are confronted with the unfavorably situation of deficiency of mans of ability. Investigated the current situation of manpower resource in some stateowned enterprise, analyzed the construction of mans of ability in Datong locomotive factory, we find that there are many misunderstanding during the process of exploitation of manpower resource and many shortcoming in the means of management, such as dated concept about the management of manpower resource, the disadvantage of system which had been formed during the period of planned economy. These defect made it impossible to engage the status quo of manpower resource of stateowned enterprise with market. Reaching the requirement of circumstances of market competition is also difficult. This has become an impassable barrier in front of managers of stateowned enterprises. Based on analyses of the origin of problem, a management pattern about how to build the "mentality contract" between enterprise and employee was proposed. Many theories, such as hypothesis about humanity, hierarchy theory, inspire and intensify theory, organization behavior, were analyzed. These work made the good foundation of "mentality contract". The approach was also proposed. Following the managing idea of based on human, emphasized that concept, basement, precondition, system, environment and oriented function are essential factors. The symbiotic benefit relationship which lies between enterprise and employee must be consolidated; the conjunct anima and coincident value tropism must be formed. Employee is diligent to dedicate to enterprise, more development and advancement of enterprise will be achieved, society wealth and economy benefit will be created, and at last manpower source become the headspring of enterprise benefit.
