Study In Chinese Legal System Framing Of Venture Capital

In the past several decades, the venture capital has initiated high-tech industry notably and became the locomotive or the economic and science development and the embodiment of innovating and creating miracle in the United States and other developed countries. Many countries in the world realized the importance of the venture capital. It is evolving into a global financial investment gradually. The venture capital is a new field in China that need to be consummating. We should recognize the important role or the the main characteristic of the venture capital. This dissertation discusses the legal system of the venture capital in China that absorbs the experience of the developed countries, whose purpose is to impove comprehensive national power rapidly . On the basis of above consideration, the achievement of this research as follows.There are four parts in the dissertation.In the first parts ,1 give a generally analyse the basic principle of venture capital. I simplly introduce the concern and attributes of venture capital and pose the recognization of venture capital of the different countries and different scholars; I discuss the basic characteristics of venture capital and emphasize the differences form the traditional investment patterns; I sum up the functions and effects of venture capital and point out especial meaning to the development of high-tech industry.In the second part, I review origin and development of the venture capital in the United States ^ Europe and Japan and point out its popularization trend all over the world and elaborate beneficial legal system that can ptomote its development. And I analyse its general situation in China.In the third and fouth part, I study the legal system that develpoment of venture capital need and it faces the legal difficulties in china, and there are six aspects:the organizational form of venture capital; the effective enterance of venture capital; the withdrawing of venture capital; the preferential taxation of venture capital; the protection of venture capital in the intellectual property right; the intermediary organ of venture capital. I put forward some sort of advices to frame Chinese legal system of venture capital.
