Study On Corporate Governance And Company Performance Of Our Listed Companies

Up till now, the theoretical circle has not put forward a unified recognition on whether there exists a certain internal link between corporate governance and company performance in a corporation. However, a new upsurge in research on corporate governance has sprung up again in international academic circles and industrial circles in recent years. The research not only simply focused on how to solve the agency problem resulted from the separation of the ownership and rights of control, but also on how to ensure the scientific decision and how to improve the performance in the enterprise. This dissertation runs through the new function of corporate governance, and tries to establish an empirical connection between corporate governance and company performance. Meanwhile, it tries to put forward the Chinese corporate models in terms of the Western experience and suggestions to improve the corporate governance of our listed companies.The dissertation, with 5 chapters, and more than 36,000 words, is composed of three major parts: status quo review and normative analysis, theory application as well as solution research.The first part as the second chapter, is theory research. Starting from the concept of corporate governance, the function of corporate governance is studied. Besides, it reviews the theory of corporate governance.The second part is current situation assessment and empirical analysis. This part includes the third and fourth chapters, analyzing empirically the relation ofcorporate govemance and company performance and assessing the current situation of corporate governance of our listed companies.The third part as the fifth chapter, refers to the countcrmeasures discussion. This part probes into the choices of corporate governance models of our listed companies, and puts forward the countermeasures of promoting corporate governance and company performance.Main Innovations are as following:1. The topic is comparatively new, which breaks through the traditional function of corporate governance and tries to analyze the influence of factors of corporate governance on company performance.2. The thesis uses method of comparative analysis to study the difference of corporate governance between the companies at home and abroad and to compare the ownership structure of our listed companies during different developing phases in our country.3. The thesis obtains the effect of corporate governance on company performance and establishes the empirical model between the two elements.4. The thesis puts forward the point of view that the corporate model of our listed companies should be adopted appropriately according to the concrete situation.5. The thesis puts forward some practical suggestions to perfect corporate governance of our listed companies.
